The Opportunity
TC Energy is seeking an experienced paralegal to work with TC Energy's in-house corporate and securities lawyers, board coordinator and other members of the support team in the Corporate Secretarial & Finance Law department. The successful candidate will be responsible for providing corporate, securities, and compliance paralegal services to TC Energy, its subsidiaries and affiliates as well as providing efficient coordination and execution of board management functions and responsibilities.

What you'll do
Where necessary, the incumbent should be able to work independently and, in a team, setting to fulfill the specific responsibilities, which include:
Provide paralegal support in the area of corporate law, including preparing quarterly and annual resolutions, drafting resolutions and related documentation for reorganizations and select transactions, updating legal entity organizational charts, attending to ongoing governance matters, maintaining and updating minute books and corporate databases
Attend to corporate filings, including incorporations and formations of partnerships, extra-provincial registrations, amendments and dissolutions and ownership filings
Assist the board coordinator with the preparation and coordination of Board and Committee meetings through drafting of agendas, reviewing materials (drafting standardized materials), scheduling, setting calendars, coordinating with internal and external attendees and presenters
Coordinating subsidiary director and shareholder meetings, both domestic and international, including drafting and/or reviewing agendas, resolutions, minutes and meeting materials and retained as a corporate record
Ensure that all Board, Committee and subsidiary materials are properly documented and uploaded to the system and Board portal, appropriately communicated and ultimately retained as a corporate record
Provide paralegal support in the area of securities law, including drafting annual disclosure documents, filing of quarterly, continuous and annual disclosure filings on SEDAR (System for Electronic Document Analysis and Retrieval) and EDGAR (Electronic Data-Gathering, Analysis and Retrieval), notifications and filings with the Toronto Stock Exchange and New York Stock Exchange of news releases and other corporate information as required, and filing insider reports on SEDI (System for Electronic Disclosure by Insiders)
Assist the corporation in maintaining certain compliance related filings related to legislation and other matters as necessary
Other tasks as required.
Minimum Qualifications
Completion of a recognized paralegal program
CORES training
Minimum of five years of paralegal or related experience
Experience with corporate filings, drafting resolutions and maintaining minute books
Preferred Qualifications
Experience with filing on SEDAR, EDGAR, TSX SecureFile, egovdirect.com and SEDI
Experience/familiarity with drafting and/or preparing and filing documents through the Workiva platform
Superior organizational and multi-tasking skills with the ability to prioritize effectively
High level of attention to detail
Excellent drafting and proofreading skills
Willingness to learn new skills and ability to adapt to changing deadlines and priorities
Strong interpersonal, verbal and written communication skills
Advanced computer skills in Microsoft Word and Excel
Experience with a corporate database and a board portal.
