Paralegal, Corporate Services - Edmonton

Our Edmonton office is looking for a senior level paralegal in our Corporate Services department. This is a role where you will work with a variety of our firm's team members and will be responsible for completing a variety of corporate transactions, including but not limited to incorporations, amendments, share transactions, amalgamations, director and officer changes, and performing due diligence searches a variety of corporate transactions, including but not limited to general search and registration services, incorporations, share structure amendments, share transactions, transfers, redemptions, amalgamations, and director and officer changes.

Duties + Responsibilities

• Incorporate and organize Alberta and Federal corporations, societies, and not-for-profit companies.
• Assist lawyers with amalgamations, arrangements, reorganizations, and amendments.
• Registration of limited partnerships, domestic and extra-provincial.
• Registration of, and preparing and filing amendments for Limited Partnerships and Limited Liability Partnerships
• Preparation of various corporate and tax resolutions and supporting documents
• Preparation of dividend resolutions.
• Minute book review.
• Entering entities in a corporate database and document management system.
• Ability to work independently as well as within a team environment.
• A high level of accuracy and strong attention to detail.

Qualifications + Skills

• Minimum of 8+ years' experience as a corporate paralegal, completion of a paralegal diploma or certificate is an asset
• Experience in all aspects of corporate work required
• Alberta CORES II or III accreditation is required
• Experience with ALF, and APPRES accreditation preferred
• Accuracy and attention to detail.
• Ability to prioritize and coordinate activities in a timely manner.
• Familiarity with a corporate database is such as ALF is an asset.
• Dedicated to continued process improvement.
• Advanced computer skills with PDF, MS Word and document managing systems

Working Conditions

• Normal weekday office hours (35).
• Must have the ability to work in a fast-paced work environment.
