Responsibilities
- Drafting, reviewing, and revising commercial contracts, agreements, disclosure schedules, closing documents and other documentation;
- Preparing, compiling, organizing and filing relevant documents and information, ensuring all required documents are executed and delivered;
- Researching and ensuring compliance with relevant laws and regulations;
- Assisting with establishment of new corporate department, including creation policies, procedures and precedents, etc.
- Complying with antitrust, securities, and other relevant regulations;
- Draft corporate resolutions, notices, agreements and other ancillary documents in connection with complex transactions;
- Draft documents relating to incorporations, organizations, amalgamations, amendments/alterations, rollovers, redemptions, annual proceedings, dividends, continuances, dissolutions, revivals, extra-provincial registrations across Canada, licenses, limited partnerships and business names;
- Conduct corporate searches, minute book reviews and prepare reports. Analyze corporate charter documents and corporate records to ensure compliance with governing statutes and make recommendations on relevancy and remedial actions;
- Maintain and review corporate records, securities ledgers and registers, including uploading executed documents to virtual minute books;
- Perform thorough due diligence investigations on properties, such as title searches, lien searches,
- Maintain professional and prompt communication to ensure excellent client service;
- File Management: Establish and maintain organized physical and electronic filing systems for real estate documents. Manage and update databases, track critical dates, deadlines, and document versions;
- Draft documents relating to incorporations, organizations, amalgamations, amendments/alterations, rollovers, redemptions, annual proceedings, dividends, continuances, dissolutions, revivals, extra-provincial registrations across Canada;
- Assist with due diligence on corporate and real estate transactions;
- Drafting closing documents for corporate and real estate transactions and assisting with closings;
- Attending to required corporate and Land Title Office registrations.
What will help you succeed in this role?
Essential
- 3+ years’ of paralegal experience working in corporate/commercial/real estate law;
- Effective time management and organizational skills and ability to follow instructions;
- Proven track record to run files with minimal supervision;
A paralegal certificate or diploma; - Results-oriented team player with strong analytical skills;
Proficiency with Microsoft applications (Outlook, Word, Excel, Teams, etc.); - Knowledge of iManage, Elite and Appara or Alf would be an asset.
