Job Title: Corporate Paralegal

Location: Head Office - Winnipeg (On Site)

Reporting to the VP, General Counsel and Secretary ("General Counsel"), the Corporate Paralegal is responsible for the overall compliance and day-to-day management of G3's privacy compliance programs including PIPEDA, anti-spam legislation (CASL), as well as other compliance and legal requirements including, but not limited to, records management, access to information legislation and supply chain due diligence reporting.

This role also assists and supports the General Counsel in complex project-related legal and related matters such as due diligence requirements for acquisition or disposition of G3 assets; review or creation of real estate leases, non-disclosure agreements and other legal agreements and documents, manage information requests from governmental agencies and regulatory bodies; ensures all required corporate filings are completed in a timely fashion and provides assistance on departmental financial management and general administrative support.

This role is also expected to take primary carriage of selected legal matters as directed by the General Counsel such as creation/review of NDAs, certain litigation matters, real estate leases and simple legal agreements and contracts.

KEY RESPONSIBILITIES:

  • Records Management - primary responsibility for G3's Records Management program including risk mitigation, organizational compliance and development of policies and procedures such as G3's records retention schedule (RRS) and disposal of legacy records.
  • Privacy, Anti-Spam Compliance - primary responsibility for ensuring compliance with privacy law (PIPEDA) and CASL legislation including the development of all necessary G3 policies and procedures and associated training to staff. Research and provide advice and direction to staff relating to privacy matters and on compliance requirements (i.e. breach response procedures, privacy principles protecting personal information of employees, producers and customers). Supports and advises General Counsel relating to any privacy-related projects such as cyber security and new statutory requirements.
  • Freedom of Information Act - primary responsibility for analyzing statute providing recommendations and draft responses to Freedom of Information requests.
  • Corporate Filings and Minute Book - sole responsibility for ensuring G3's regulatory filings have been completed and filed in a timely fashion. Maintain G3's repository of material agreements, minute books and other corporate documents for each G3 company and legacy G3 subsidiary companies. Develop and maintain G3 org chart, G3 company ownership table, director and shareholder registries.
  • Real Estate - sole responsibility to provide direct support to engineering and management team on the acquisition or disposition of G3 properties. Instruct and work proactively with external counsel to provide recommendations and direction on leases, land options, foreign ownership applications, purchase and sale agreements, extension or exercise of option documents and attendant closing documents. Responsible for coordination of closing documents and land inventory listing.
  • Other Legal Matters and Projects - Representative work includes leases, trademarks, regulatory inquiries (eg Modern Slavery Act), maintenance of legal agreement library, financing due diligence, licensing applications-and supporting General Counsel and external counsel in any legal or compliance project.
  • Financial Management - Report on monthly accruals Draft forecasting/budgeting worksheets and assist General Counsel with finalizing Legal Dept annual budget and forecasting.
  • Provide administrative support - Including scheduling meetings, handling correspondence, maintaining legal files and records, and other duties as assigned.

PROFESSIONAL QUALIFICATIONS & EXPERIENCE:

  • Minimum of 7 years required in a similar role
  • Corporate Paralegal or Legal Assistant Certification considered an asset
  • Proven ability to understand and prepare legal documentation and handle sensitive or confidential information
  • Significant experience and training associated with corporate records management, document cataloguing, and records retention
  • Strong knowledge of privacy legislation, and other relevant legislation or regulatory requirements
  • Proven ability to understand and interpret commercial and operational requirements associated with roles and responsibilities
  • Experience with using software that will compare various versions of the same agreement (i.e. CompareDocs)
  • Experience with use of contract management software for storage of G3 agreements.
