Job Description

The Corporate Clerk role requires good organizational skills, excellent attention to detail, ability to work with people and the ability to meet time deadlines. This position is responsible for various corporate law clerk duties at an advanced level.

The salary range for this position is $50,000 - $60,000 annually.

Key Responsibilities:

  1. Incorporation and organization of a new corporation (federal and provincial):
  • conduct appropriate preliminary name search ;
  • attend to the execution of Articles;
  • prepare all organizational documents and organize minute books

2. Amendment of Corporations Articles:

  • prepare, revise and finalize Articles of Amendment;
  • prepare authorizing resolutions and notarial copy of Articles;
  • complete Notice of Change and cover letter to Ministry;
  • update directors, officers, shareholders' resolutions and minute book

3. Amalgamations:

  • prepare minutes/resolutions to bring minute books up-to-date;
  • prepare Articles of Amalgamation, Amalgamation Agreement, Director's Statements and authorizing resolutions;
  • complete Initial Return and covering letter to the Ministry;
  • close off minute books of amalgamating corporations

4. Dissolutions:

  • ensure final tax return has been filed;
  • prepare and send correspondence requesting consent from Ministry of Finance and / or Clearance Certificate from CCRA and notifying of dissolution;
  • prepare Articles of Dissolution, authorizing resolutions, and any agreements releases, etc.;

5. Re-organizations:

  • review minute book(s) and corporate file(s) and prepare minutes/resolutions to update;
  • prepare Articles of Incorporation and / or Articles of Amendment, authorizing resolutions, agreements;

6. Asset Purchas / Sale:

  • prepare Working Agenda;
  • finalize documents for closing;
  • conduct various searches including PPSA, Bankruptcy, Sheriff's etc.;
  • order of Certificate of Status;
  • file Bulk Sales Affidavit with courts

7. Share Purchase / Sale:

  • order Certificate of Status;
  • prepare old share certificate(s) for endorsement and prepare new share certificate(s);
  • complete Notice of Change and covering letter to Ministry;
  • finalize documents for closing

8. Complete required searches and documentation for business name registration, amendments, renewals or cancellations;

9. Receive and review audit inquiry from clients, review minute book and file;

  • Review minute books and prepare necessary documents to bring minute books up-to-date;
  • Maintain corporate records and listing of minute books/corporations

Additional Duties:

  • Keep abreast of any changes in specialty areas and quickly adapt procedures to meet requirements;
  • Foster an environment where other staff feel comfortable in asking for assistance and advice;
  • Act as a representative of Sullivan Mahoney LLP with external agencies and clients with confidence, as required;
  • Perform other duties as may be assigned and or required from time to time.

Qualifications

  • Successful completion of post-secondary Law Clerk or related program;
  • 5-7 years' experience in business / corporate law in a legal environment;
  • Proficient in Microsoft Office programs and legal software including CorpLink and PC Law;
  • Must be able to work with a degree of independence;
  • Ability to multi-task and prioritize high volume of work;
  • Listens well and has an aptitude for rapid comprehension
  • Exceptional attitude and work ethic
  • Willingness to assist others voluntarily or as requested in a team environment;
  • Resourceful, highly motivated and able to adapt and learn quickly in applying new technical and professional skills;
  • Willingness and ability to support and enhance firm's presence and goals.
