Compensation: $70,000 - $80,000 base annual salary

Working Hours: 40 hours/week

Location: 123 Front St. W. suite 300, Toronto, ON M5J2M2

New Position

Mission: 

As an integral part of our organization, you will play a key role in providing support to our everyday legal needs, ensuring compliance with laws and regulations, being the interface with our corporate counsels, and contributing to the overall success of Assembly Corp.  

As the Paralegal/Law Clerk, you will be committed to delivering precise legal research, maintaining strong attention to detail, and collaborating closely with the entire team to protect the company's legal interests and ensure smooth compliance. A deep understanding of legal issues related to construction, insurance, and manufacturing and solid communication and collaboration skills to work with external counsel and other stakeholders is essential.

Expected Outcomes (include but not limited to):

Document Management

  • Organize and maintain legal, insurance and bonding documents, contracts, filings, and correspondence.
  • Draft, review, and manage construction/ manufacturing contracts, agreements, and legal documents, ensuring accuracy, completeness, and compliance with applicable laws and regulations.
  • Provide support in preparing legal reports, correspondence, and case summaries.

Research and Analysis:

  • Conduct legal research on construction/ manufacturing laws, regulations, and industry standards.
  • Analyze legal data to ensure adherence to applicable laws and regulations.

Compliance Support:

  • Monitor changes in laws and regulations relevant to the industry and assist in ensuring company-wide compliance. (ie. HCRA, Tarion, etc.).
  • Develop and update internal policies and procedures as needed.
  • Ensure all required insurance coverages are in place and up to date for Assembly and each active project. 
  • Monitor legal deadlines and ensure timely filings and responses.

Corporate Support:

  • Support corporate governance activities, including the preparation of board meeting materials, resolutions, and maintenance of corporate records.
  • Assist in drafting, reviewing, and managing investor and stakeholder-related contracts relating to business financing, and other legal matters. 
  • Maintain strict confidentiality and handle sensitive information with discretion.

Administrative Support:

  • Coordinate with external legal counsel as needed.
  • Draft and review legal correspondence, including letters, memoranda, and reports. Maintain a well-organized system for tracking and responding to legal inquiries.
  • Work closely with internal teams to provide legal guidance and support on various business initiatives.

Litigation Support:

  • Assist in the preparation and management of legal documents for litigation matters, including gathering relevant information, organizing exhibits, and liaising with external counsel.
  • Support the resolution of construction/manufacturing related disputes, including litigation and arbitration support.
  • Provide updates on the status of legal matters to internal stakeholders.

Skills, Qualifications and Track Record: 

Must Haves

  • Paralegal Certification from an accredited institution or completed required law clerk courses at a college or The Institute of Law Clerks of Ontario including corporate, real estate and litigation.
  • 5+ years of experience working as a paralegal or law clerk, preferably in construction or a related industry or law firm.
  • Strong knowledge of contract law and construction-related legal matters.
  • Proficiency in legal research methods, databases and case management software.
  • Exceptional attention to detail and organizational skills.
  • Ability to handle multiple tasks and work in a fast-paced environment.
  • Excellent written and verbal communication skills.

Nice-to-Haves

  • Paralegal or law clerk certification
  • Start-up experience 
  • 3+ years of experience in the construction/ manufacturing industry
  • Prior paralegal or law clerk experience in a law firm, corporate legal department, or nonprofit setting.
